Shirley has extensive experience on complex corporate and commercial transactions in China and across Asia. She advises on all types of transactions, including mergers and acquisitions, private equity investments, restructurings and joint ventures, as well as on a full range of corporate matters, including constitutions, corporate governance, directors’ duties and shareholders’ rights. She also has experience in initial public offerings, take-privates, bond issues, investment fund formation and other banking and capital market transactions. Shirley garners fulsome praise in providing a responsive and hardworking service to her clients who include Chinese state-owned, privately owned and international enterprises, financial institutions, private equity firms, asset managers, Hong Kong and US listed companies.

She is a qualified lawyer in Hong Kong, New South Wales Australia, England & Wales, and New Zealand. Her legal career began back in 2004 with KPMG’s tax and legal department in Sydney, before she relocated to Hong Kong where she spent over four years in premier offshore law firms and more than seven years at top tier international law firms. She was a key part of the team which was awarded “Offshore Law Firm of the Year” by ALB Hong Kong Law Awards, China Law & Practice Awards and IFLR Asia Awards from 2014 to 2017. Many of the deals which she worked on are high-profile and high-dollar-value transactions and have received industry recognition and acclaim.

David has substantial commercial business and legal experience working in an in-house senior counsel role, with responsibility for a legal and contracting team. David specialises in contracting and commercial transactions, due diligence, employment matters, internal and regulatory investigations, corporate law, litigation, general regulatory and compliance matters. He is often involved in matters in different regions, including Hong Kong, the PRC and the US. As in-house senior counsel at another Big Four firm, he was previously responsible for legal functions covering Australia, New Zealand, Fiji and Indonesia.

David is experienced in managing a team. He reports to the board and senior management on all contractual, governance, employment, partnership, compliance, regulatory and litigation matters, and is a trusted advisor to the business. He is comfortable operating in complex and challenging business environments.

His experience also includes outbound investment by Chinese companies, technology licensing and China related real estate transactions.

Prior to joining SF Lawyers, Leo worked for a leading Chinese law firm and three major international law firms in Beijing, Shanghai and Hong Kong since 2006. Leo was recognized by the Legal 500 as “Next Generation Lawyer” from 2016 to 2018. Many of the transactions he worked on were awarded as the “deals of the year”.

Bessie’s practice focuses on intellectual property law, covering all aspects of protection, commercial exploitation and enforcement in Hong Kong and China. She has experience on brand clearance as well as management, audit and review of international and regional intellectual property portfolio for clients from various industries. Her practice includes strategic advice on copyright, design, domain name, know-how and trade mark protection, filing and prosecuting registrable intellectual property rights, appearing for clients for prosecution matters in both Trade Marks Registry and the High Court.

Bessie specialises in advising clients on a wide range of intellectual property-related commercial matters, including conducting audits and due diligence for mergers and acquisitions, joint ventures, initial public offerings and restructuring and dissolution of businesses, negotiating and drafting agreements on non-disclosure, assignment, co-existence of trade marks rights, franchise, licensing and technology development agreements. Bessie has also assisted clients in compliance of local laws in areas such as trade descriptions, advertising, parallel imports and personal data protection.

Bessie also has experience advising on data privacy issues, including drafting and reviewing personal information collection statements and privacy policies. She has also represented clients in handling complaints on personal data breaches.

Prior to joining SF Lawyers, Bessie was trained and stayed on as an associate in a Hong Kong law firm which was highly ranked in the field of intellectual property by the Legal 500 and World Trademark Review 1000. She then moved to another full-service firm and gained substantial experience in internet and technology related IP areas.
